CODE OF ETHICS CONSULTATION AND DISCLOSURE

We have established the ethical principles that Borusan employees are expected to uphold under the guidance of the Borusan Holding Ethics and Compliance Committee.

Our colleagues across the Borusan Group are responsible for complying with these ethical principles and for promoting and encouraging compliance with them in their work environment.

As part of this responsibility, we have established the “Orange Ethics Line.” Our employees and all stakeholders may use this channel to seek guidance or report concerns regarding their own conduct or the conduct of Borusan employees. All inquiries and reports concerning compliance with ethical principles by Borusan Group companies and employees are expected to be submitted through this channel. All inquiries and reports are reviewed and responded to by the Ethics and Compliance Committee.

The Borusan Holding Ethics and Compliance Committee is responsible for investigating reports of potential violations of ethical and compliance principles and for developing appropriate solutions. The Ethics and Compliance Committee reports directly to the Chair of the Borusan Holding Board of Directors, while investigations and reviews are conducted by the Borusan Holding Internal Audit Directorate.

We maintain the confidentiality of reports submitted to the Ethics and Compliance Committee by Borusan Group employees and third parties. In managing this process, we work with specialized external service providers. We ensure that reviews and investigations are conducted confidentially by independent experts.
